Terms of Use

These terms apply to your use of routead.com and to the traffic network and related services we provide (together, the "Services"). Please read them carefully. By registering for an account or using the Services, you agree to them.

1. Who we are

RouteAd is a trading name of Netstar Limited, a company registered in England and Wales (company number 06018540) with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ ("we", "us", "our"). You can contact us using the contact form on our homepage.

2. Who can use the Services

The Services are for businesses and are not offered to consumers. You confirm that you are at least 18, that you are acting for a business or in a professional capacity, and that you have authority to bind the business you represent. In these terms, "you" means that business and the individual registering on its behalf.

Our Services include two types of customer. Advertisers buy traffic or run campaigns through the network. Publishers supply traffic to the network. You may be both.

3. Accounts

  • We may approve or reject any application, and we may ask for further information about you, your business and your traffic or campaigns before or after approval.
  • You must give accurate, current information and keep your login details secure. You are responsible for all activity under your account.
  • You must tell us promptly if you believe your account has been compromised.

4. Advertisers

  • You are solely responsible for your ads, creatives, offers, landing pages and the products or services you promote, and for making sure they comply with all applicable laws and advertising codes, including the UK CAP Code and any local rules for the places your ads appear.
  • We may review, reject, pause or remove any campaign at our discretion, including where we think it could harm end users, publishers, our reputation or our relationships with partners.
  • Unless we agree otherwise in writing, campaigns must be funded in advance. Funds are applied against traffic delivered, as recorded by our platform.

5. Publishers

  • You may only send traffic that you own or are authorised to send, and that is generated by real people who have freely chosen to see or click the ads.
  • You are responsible for providing any notices and obtaining any consents required by law on your websites, apps and other traffic sources, including under UK GDPR and the Privacy and Electronic Communications Regulations or equivalent laws.
  • You are paid for valid traffic only, as determined by our platform and quality checks. We may decline to pay for, or reverse payment for, traffic that we reasonably consider invalid or in breach of these terms.
  • Payout schedules, minimums and rates are as set out in your account or agreed with us in writing.

6. Prohibited conduct

You must not, and must not allow anyone else to:

  • generate or send fraudulent, invalid or artificial traffic, including bots, scripts, click farms, automated refreshes, forced or hidden clicks, cookie stuffing, or incentivised traffic unless we have approved it in writing;
  • mislead users about what an ad is or where it leads, or use deceptive, harmful or malicious redirects, downloads or software;
  • promote or distribute anything illegal, or anything involving malware, phishing, counterfeit goods, child sexual abuse material, hate or violence, or content that infringes others' rights;
  • interfere with, probe, reverse engineer or overload the Services or our platform, or try to access data or accounts that are not yours;
  • circumvent tracking, reporting or quality controls, or resell access to the Services without our written consent; or
  • use the Services in breach of any law or third-party rights.

7. Tracking and reporting

Impressions, clicks, conversions and other events are measured by our platform. Our records are the basis for billing and payment and are final unless there is a clear error. If you think a report is wrong, tell us within 30 days of the report date and we will review it in good faith.

8. Fees, payment and tax

  • Fees, rates and payment terms are those shown in your account or agreed with us in writing.
  • Amounts are stated exclusive of VAT and other taxes, which you must pay where they apply.
  • If you do not pay an amount when due, we may suspend your campaigns or account and charge interest at the rate set under the Late Payment of Commercial Debts (Interest) Act 1998.
  • We may set off any amount you owe us against amounts we owe you.

9. Suspension and termination

Either of us may end the relationship at any time by written notice. We may suspend or close your account immediately, and withhold or reverse payments connected to the breach, if we reasonably believe you have breached these terms, are involved in fraud or illegal activity, or pose a risk to the network, our partners or end users. Amounts you owe remain payable after termination, and clauses that are intended to survive termination will continue to apply.

10. Intellectual property

We and our licensors own the Services, our platform, branding and website content. We give you a limited, non-exclusive, non-transferable right to use the Services while your account is active. You keep ownership of your own content, and you give us a licence to use, display and process it as needed to provide the Services.

11. Confidentiality and data protection

Each of us must keep confidential any non-public commercial or technical information the other shares in connection with the Services, and use it only for those purposes, unless disclosure is required by law. Our handling of personal data is described in our Privacy Policy. Where either of us processes personal data on the other's behalf, we will agree any further terms the law requires.

12. No warranties

The Services are provided on an "as is" and "as available" basis. We do not guarantee any level of traffic, volume, conversions, revenue or results, or that the Services will be uninterrupted or error-free. To the extent the law allows, we exclude all implied warranties and conditions.

13. Limit on liability

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.

Subject to that, we are not liable for any loss of profit, revenue, business, goodwill or data, or for any indirect or consequential loss. Our total liability to you arising from or in connection with the Services, whether in contract, tort (including negligence) or otherwise, is limited to the fees you paid to us, or that we paid to you, in the 12 months before the event giving rise to the claim, whichever is lower.

14. Indemnity

You will indemnify us against claims, losses and costs (including reasonable legal fees) arising from your content, campaigns or traffic, your breach of these terms, or your breach of any law or third-party right.

15. Changes

We may update these terms from time to time. We will post the new version on this page and notify registered account holders of material changes. By continuing to use the Services after a change takes effect, you accept the updated terms.

16. General

  • These terms, together with any commercial terms agreed in writing, are the whole agreement between us about the Services.
  • If any part of these terms is found unenforceable, the rest continues to apply.
  • If we do not enforce a right straight away, we have not given it up.
  • You may not transfer your rights under these terms without our written consent. We may transfer ours to a successor or group company.
  • We are not responsible for delays or failures caused by events outside our reasonable control.

17. Governing law

These terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
